These Terms & Conditions ("Terms") govern your access to and use of the Zeloyi website, dashboard, APIs, widgets, integrations, and AI chatbot platform (collectively, the "Service"). By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Service. If you are using the Service on behalf of a company or organization, you represent that you have the authority to accept these Terms on its behalf.

3. Our Services

Zeloyi provides an AI-powered chatbot platform that allows users to:

  • Create and deploy AI chatbots.
  • Upload documents and build knowledge bases.
  • Integrate with websites and third-party platforms.
  • Collect leads and analyze chatbot performance.
  • Connect AI providers using Zeloyi AI Keys or BYOK.

We reserve the right to modify, improve, suspend, or discontinue any feature of the Service at any time.

4. Subscription & Payments

Some features require a paid subscription.

  • Subscriptions may be billed monthly or annually.
  • Pricing is displayed before purchase.
  • Payments are processed securely through third-party payment providers.
  • Failure to complete payment may result in suspension or cancellation of your subscription.
  • Trial accounts may automatically convert into paid plans unless cancelled before the trial ends.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Upload malicious software or harmful content.
  • Generate spam, phishing, or fraudulent content.
  • Infringe intellectual property rights.
  • Harass, abuse, or impersonate another person.
  • Attempt unauthorized access to our systems.
  • Use the Service in any manner that could damage or disrupt our infrastructure.

6. Customer Content

You retain ownership of all documents, training materials, uploaded files, prompts, and chatbot data that you provide.

By uploading content, you grant Zeloyi a limited license to store, process, and use the content solely for providing and improving the Service. You represent that you have the legal rights to upload and use all content submitted to the platform.

7. AI-Generated Responses

AI-generated responses may be inaccurate, incomplete, or outdated. You acknowledge that:

  • AI responses should not be treated as professional legal, medical, financial, or other regulated advice.
  • You are responsible for reviewing chatbot responses before relying on them.
  • Zeloyi is not responsible for decisions made based on AI outputs.

8. Third-Party Services

Our platform integrates with third-party services such as OpenAI, Anthropic, WhatsApp, WordPress, React, Next.js, and other APIs. Your use of these integrations is subject to their respective terms and privacy policies. Zeloyi is not responsible for outages, policy changes, or service interruptions caused by third parties.

9. Intellectual Property

The Zeloyi platform, branding, logos, website, software, APIs, documentation, and related materials are owned by Zeloyi and are protected by applicable intellectual property laws. You may not copy, distribute, reverse engineer, or create derivative works without our written permission.

10. Service Availability

While we strive to provide reliable uptime, we do not guarantee uninterrupted availability of the Service. Maintenance, updates, technical failures, or third-party outages may temporarily affect availability.

11. Termination

We may suspend or terminate your account if you:

  • Violate these Terms.
  • Use the platform for unlawful purposes.
  • Attempt to compromise platform security.
  • Fail to pay subscription fees.

You may cancel your subscription at any time through your account dashboard.

12. Limitation of Liability

To the maximum extent permitted by law, Zeloyi shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the Service, including loss of data, revenue, profits, or business opportunities.

13. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties regarding accuracy, reliability, uninterrupted operation, or fitness for a particular purpose.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after any updates constitutes your acceptance of the revised Terms.

These Terms shall be governed by and interpreted in accordance with the laws applicable in your jurisdiction, without regard to conflict of law principles.
